("Performetis", "Company", "we", "us", or "our"), governing your access to and use of our website at performetis.com and all related services. By accessing our Site or engaging our Services, you agree that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you may not use our Services.
Performetis provides performance marketing and media buying services, including but not limited to paid search management, paid social advertising, programmatic display, analytics and attribution, email and CRM marketing, and creative strategy. The specific scope of services provided to any client is defined in a separate Service Agreement or Statement of Work ("SOW") executed by both parties.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to affected clients.

With respect to client campaigns: all pre-existing intellectual property of each party remains the property of that party. Creative assets developed specifically for a client campaign shall be governed by the applicable SOW.

Service fees are as set out in the applicable SOW. Unless otherwise agreed: invoices are issued monthly in advance; payment is due within 14 days of the invoice date; late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. All fees are exclusive of applicable taxes, which are the client's responsibility. Performetis reserves the right to suspend Services for accounts more than 30 days overdue.
While we apply industry-leading expertise and methodologies, Performetis does not guarantee specific performance outcomes, ROAS targets, revenue increases, or any other metric. Digital advertising performance is subject to market conditions, platform algorithm changes, competition, seasonality, and other factors beyond our control. Any projections or estimates provided are illustrative only and do not constitute a warranty or guarantee.
Each party agrees to maintain the confidentiality of the other party's Confidential Information (as defined in any applicable SOW or Non-Disclosure Agreement). This obligation survives the termination of our business relationship for a period of 3 years. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without reference to the disclosing party's information.
To the fullest extent permitted by applicable law, Performetis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with these Terms or our Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to Performetis in the three (3) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Performetis, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Site or Services; your violation of these Terms; your violation of any law or regulation; or your violation of any third-party rights.
Either party may terminate a service engagement by providing 30 days' written notice, unless otherwise specified in the applicable SOW. Performetis may terminate immediately upon written notice if: you are in material breach of these Terms and fail to cure such breach within 10 business days of notice; you become insolvent or enter into bankruptcy proceedings; or you engage in fraudulent, illegal, or harmful conduct.
Upon termination, all outstanding fees become immediately due and payable. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in New York, NY under the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court.
We reserve the right to update these Terms at any time. We will notify existing clients of material changes via email at least 30 days before they take effect. Continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
These Terms, together with our Privacy Policy and any applicable SOW or Service Agreement, constitute the entire agreement between you and Performetis regarding your use of our Site and Services and supersede all prior agreements, representations, and understandings.
